1. Acceptance of Terms
The web pages available at tickvio.com, the Tickvio application at app.tickvio.com, and all linked pages, APIs, and services (collectively, the "Site") are owned and operated by Tickvio ("Tickvio," "we," "us," or "our"). These Terms of Service ("Terms" or "Agreement") govern your access to and use of the Site and all services provided through the Site.
By creating an account, accessing the Site, or using any of our services, you agree to be bound by these Terms, our Privacy Policy, our Cookie Policy, and our Acceptable Use Policy, all of which are incorporated into this Agreement by reference. If you do not agree to these Terms, you must not access or use the Site or any of our services. These Terms constitute a legally binding agreement between you and Tickvio. You represent that you have the legal authority to enter into this Agreement. If you are using the services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
Tickvio is an email countdown timer platform that enables users to create, customize, and embed real-time countdown timers in email marketing campaigns. Our services include customizable countdown timer creation and design tools, real-time timer rendering that updates on every email open, timezone-aware countdown targeting, integration with email service providers (including Klaviyo, Mailchimp, and other ESPs), timer hosting, delivery, and real-time rendering infrastructure, and template creation and management tools.
Your access to and use of the Site may be interrupted from time to time due to equipment malfunction, updating, maintenance, repair, or other reasons within or outside our control. Tickvio reserves the right to suspend or discontinue the availability of the Site and/or any service at any time at its sole discretion. We will make commercially reasonable efforts to provide advance notice of any planned downtime or service discontinuation.
To use the services, you must create an account by providing a valid email address and password. Account creation is available via email and password only. We do not offer third-party authentication methods (such as Google or social media sign-in) at this time. You represent and warrant that all registration information you provide is accurate, complete, and current at all times, that you will maintain and promptly update your registration information, that you are at least 18 years of age or the age of majority in your jurisdiction, and that you will maintain the confidentiality of your account credentials and will not share your login details with any third party.
Tickvio offers multiple subscription tiers, including a free plan with limited usage and paid plans with increased features. Current plan details and pricing are available at tickvio.com. All payments are processed through Stripe. By subscribing to a paid plan, you authorize Tickvio to charge your payment method on a recurring basis until you cancel your subscription. All fees are quoted and charged in U.S. Dollars (USD) unless otherwise stated.
Paid subscriptions automatically renew at the end of each billing cycle unless you cancel before the renewal date. Tickvio reserves the right to change pricing at any time with at least thirty (30) days advance written notice via email. If you do not cancel your subscription before the new pricing takes effect, your continued use constitutes acceptance of the updated pricing. Payments are non-refundable except where required by applicable law. If you believe you have been charged in error, contact hello@tickvio.com within fourteen (14) days of the charge.
You agree to use the services only for lawful purposes and in compliance with these Terms, our Acceptable Use Policy, and all applicable laws and regulations. You agree not to use the services to send, display, or distribute any illegal, harmful, or objectionable content; to send unsolicited commercial communications (spam) or violate applicable anti-spam laws including CAN-SPAM, GDPR, and CASL; to upload content that infringes intellectual property rights; to attempt unauthorized access to any part of the services; to use automated tools, bots, or scrapers without prior written consent; to interfere with or disrupt the services; to transfer or share your account with any third party; or to create, host, or serve timers containing illegal content, malware, phishing attempts, or content promoting violence, discrimination, or hatred. Violation of these provisions may result in immediate suspension or termination of your account without prior notice.
You retain all ownership rights in any content, images, text, logos, and other materials you upload to or create using Driphue ("Your Content"). Tickvio integrates with third-party email service providers (such as Klaviyo) and other platforms. Your use of these third-party services is governed by their respective terms of service and privacy policies. Tickvio is not responsible for the availability, accuracy, or practices of any third-party services and makes no warranties regarding their performance or security. When you connect Tickvio to a third-party service, you authorize us to access and exchange data with that service to the extent necessary to provide our services.
Tickvio processes countdown timer configuration data in real-time at the point of timer rendering. This data is used solely to generate the countdown timer and is not stored, retained, or used for any other purpose after the timer has been rendered and delivered. Tickvio does not collect, store, or have access to your email subscriber lists. We do not receive or retain the email addresses of your subscribers. Tickvio is committed to compliance with the General Data Protection Regulation (GDPR) and other applicable data protection laws. As a data processor acting on your behalf, we process data only as necessary to provide the services you have requested. You, as the data controller, are responsible for ensuring you have a lawful basis for processing your subscribers' data. THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, TICKVIO DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. TICKVIO DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TICKVIO, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL. IN NO EVENT SHALL TICKVIO'S TOTAL AGGREGATE LIABILITY EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO TICKVIO IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).
You agree to defend, indemnify, and hold harmless Tickvio, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with your use of the services, Your Content, your violation of these Terms or any applicable law, your violation of any third party's rights including intellectual property, privacy, or publicity rights, and any claim that Your Content caused damage to a third party.
These Terms are effective from the date you first access or use the services and continue until terminated by either party. You may cancel your subscription and terminate your account at any time through your account settings or by contacting hello@tickvio.com. Cancellation will take effect at the end of your current billing cycle. Tickvio may suspend or terminate your account at any time for breach of these Terms, fraudulent or unlawful activity, non-payment of fees, or extended inactivity (with thirty days' notice). Upon termination, your right to access the services will immediately cease, any outstanding fees become immediately due, and Tickvio will delete Your Content within thirty (30) days unless retention is required for legal purposes. You may request an export of Your Content prior to termination.
Before initiating any formal dispute resolution proceedings, you agree to first contact Tickvio at hello@tickvio.com. and attempt to resolve the dispute informally for at least thirty (30) days. These Terms and any disputes arising out of or relating to these Terms or the services shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any legal action or proceeding shall be brought exclusively in the federal or state courts located in the State of Delaware. TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AGREE THAT ANY DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS AND NOT AS PART OF ANY CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.
By creating an account or using Tickvio, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.
Tickvio reserves the right to modify these Terms at any time. We will notify you of material changes by sending an email to the address associated with your account and/or by posting a prominent notice on the Site at least thirty (30) days before the changes take effect. Your continued use of the services after the effective date of any modifications constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the services and cancel your account before the changes take effect.
These Terms, together with the Privacy Policy, Cookie Policy, and Acceptable Use Policy, constitute the entire agreement between you and Tickvio with respect to the services and supersede all prior or contemporaneous agreements. If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect. The failure of Tickvio to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. You may not assign or transfer these Terms without the prior written consent of Tickvio. Tickvio may assign these Terms without restriction. Tickvio shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including acts of God, natural disasters, war, terrorism, internet or infrastructure failures, or strikes.
